1. Introduction
This website, kingsley-caps.co (the "Site"), is operated by Joop Yellow Strategies LLC, trading as Kingsley Cap Co. ("we", "us", "our"). Our registered address is 30 N Gould St, Ste R, Sheridan, WY 82801, United States.
These Terms of Service ("Terms") apply to your use of the Site and to any purchase you make from us. By using the Site or placing an order, you agree to these Terms, together with our Shipping Policy, Return & Refund Policy, Privacy Policy, Transactions Policy and DMCA Policy, which form part of these Terms.
If you do not agree to these Terms, please do not use the Site.
2. Eligibility
To place an order, you must be at least 18 years old and able to enter into a legally binding contract. By placing an order, you confirm that the information you provide is accurate and complete, and that you are authorised to use the payment method you provide.
3. Use of the Site
You agree to use the Site only for lawful purposes. You must not:
- use the Site in any way that breaks any applicable law or regulation,
- attempt to gain unauthorised access to the Site, its servers or any connected systems,
- introduce viruses, malware or other harmful code,
- use automated tools (such as bots or scrapers) to collect content or data from the Site,
- copy, reproduce or resell any part of the Site without our written permission,
- place orders using false information or a payment method you are not authorised to use.
We may suspend or restrict access to the Site, or cancel orders, if we reasonably believe these Terms have been broken.
4. Products and Descriptions
We make every effort to describe and display our products accurately. However:
- colours may appear slightly different depending on your screen settings,
- sizes and measurements are approximate and may vary slightly between items,
- small variations in fabric, pattern placement and stitching are normal.
We may limit the quantity of any product sold, and we may discontinue products at any time.
5. Pricing and Availability
All prices are shown in pounds sterling (GBP) and include any applicable taxes. Shipping is free on all orders.
We may change prices, promotions and product availability at any time. Price changes do not affect orders for which a contract has already been formed.
If a product is listed at an obviously incorrect price because of an error, we are not obliged to supply it at that price. We will contact you, and you may choose to proceed at the correct price or cancel for a full refund.
6. Orders and Contract Formation
When you place an order, you will receive an order confirmation email. This email confirms that we have received your order. It does not mean your order has been accepted.
A contract between you and us is formed when we send you a dispatch confirmation email stating that your order has been shipped.
Before that point, we may decline or cancel an order, for example because:
- the product is out of stock,
- there is a pricing or product description error,
- we cannot verify your payment or suspect fraud,
- we cannot deliver to your address.
If we cancel your order, we will notify you and issue a full refund to your original payment method.
7. Payment
Payment is taken when you place your order. Full details on accepted payment methods, authorisation holds, fraud checks and payment disputes are set out in our Transactions Policy.
8. Shipping and Delivery
Delivery times, tracking, delivery confirmation and our procedures for lost, delayed or damaged parcels are set out in our Shipping Policy. Responsibility for the goods passes to you once they are delivered to the address you provided, or to a person or place you nominated.
9. Returns, Refunds and Cancellations
Your rights to return, cancel and receive a refund are set out in our Return & Refund Policy. Nothing in these Terms affects your statutory rights as a consumer.
10. Your Account
If you create an account, you are responsible for keeping your login details confidential and for all activity under your account. Please let us know immediately if you believe your account has been used without your permission.
11. Reviews, Comments and Feedback
If you submit reviews, comments, photos or other content to us, you confirm that the content is your own, is accurate, and does not break any law or infringe anyone's rights. You grant us a non-exclusive, royalty-free licence to use, reproduce and display that content in connection with our business.
We may remove any content that we consider unlawful, offensive, misleading or in breach of these Terms.
12. Intellectual Property
All content on the Site, including text, graphics, logos, photographs, product images, videos and design, is owned by or licensed to us and is protected by copyright, trademark and other intellectual property laws.
You may view and print pages from the Site for your personal, non-commercial use. You may not copy, reproduce, distribute, modify or commercially use any content without our prior written permission. For reporting infringement, please see our DMCA Policy.
13. Third-Party Links and Services
The Site may contain links to third-party websites or use third-party services (such as payment providers and tracking tools). We are not responsible for the content, policies or practices of third-party websites and services.
14. Fraud Prevention
We use automated and manual checks to protect our customers and our business from fraud. We may request additional verification before dispatching an order, and we may cancel orders that we reasonably suspect to be fraudulent. We may report suspected fraud to payment providers and the relevant authorities.
15. Chargebacks and Payment Disputes
If you have a problem with your order, please contact us first at info@kingsley-caps.co. We will always try to resolve your issue quickly.
If a chargeback or payment dispute is opened, we will provide our payment provider with relevant information, such as order details, tracking and delivery confirmation, and our correspondence with you. We may decline future orders from customers who file chargebacks without first contacting us, or who file disputes that are found to be unfounded.
This does not affect your rights under your card provider's terms or under consumer protection law.
16. Disclaimer
The Site is provided on an "as is" and "as available" basis. We do not guarantee that the Site will always be available, uninterrupted or error-free.
The products we sell are covered by your statutory rights. Nothing in this section limits those rights.
17. Limitation of Liability
To the extent permitted by law, our total liability to you in connection with any order is limited to the amount you paid for that order. We are not liable for losses that were not reasonably foreseeable, or for any business losses.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
18. Indemnity
You agree to indemnify us against any claims, losses and costs arising from your misuse of the Site or your breach of these Terms, to the extent permitted by law.
19. Governing Law and Jurisdiction
These Terms, and any dispute arising from them or from your use of the Site, are governed by the laws of the State of Wyoming, United States. The courts of the State of Wyoming have jurisdiction over any such dispute.
If you are a consumer, this choice of law does not deprive you of the protection of any mandatory provisions of the law of the country where you live. You may also bring proceedings in the courts of your country of residence.
20. Changes to These Terms
We may update these Terms and our policies from time to time, for example to reflect changes in law or in how we operate. The updated version will be posted on this page with a new "Last updated" date and takes effect when posted. The Terms in force at the time you place an order apply to that order.
21. Severability
If any part of these Terms is found to be invalid or unenforceable, the remaining parts will continue in full force and effect.
22. Entire Agreement
These Terms and the policies referred to in them form the entire agreement between you and us in relation to your use of the Site and your purchases.
